Terms of Service

1. These Terms

These Terms of Service (“Terms”) govern your access to and use of the Compadres platform, including the Compass dashboard and the Your Compadre conversational interface (together, the “Platform”), provided by Burcham Group Pty Ltd T/A Compadres (ABN 45 617 862 389) (“Compadres”, “we”, “us”).

By accessing or using the Platform, you agree to these Terms.

2. Who Can Use the Platform

Access to the Platform is provided to clients engaged under a separate advisory agreement with Compadres, and to the authorised users of those clients.

If there is any conflict between these Terms and your advisory agreement regarding commercial matters such as fees, scope of services or termination of the engagement, your advisory agreement takes precedence.

These Terms govern your use of the Platform itself.

3. Your Account

You are responsible for keeping your login credentials secure and for all activity that occurs under your account.

Please notify us immediately if you believe your account has been compromised.

4. Connecting Google Calendar

You may choose to connect your Google Calendar to the Platform.

If you do, we will request your permission to access only the calendar information required to provide the features you use.

You may disconnect your Google Calendar at any time through your Google Account settings or by contacting us.

Disconnecting your Google Calendar will not affect the remainder of your access to the Platform.

Our handling of Google user data is explained in our Privacy Policy.

5. Acceptable Use

You agree not to:

  • Use the Platform for any unlawful purpose or in breach of these Terms.
  • Attempt to access another client’s account or data.
  • Reverse engineer, copy, modify or resell the Platform.
  • Interfere with the security, integrity or normal operation of the Platform.

6. Your Data

You retain ownership of the business information and data you provide to us (“Your Data”).

You grant us permission to use Your Data for the purpose of providing the Platform and your advisory engagement, including powering the Compadres Brain and its AI-assisted features.

We will not use Your Data for the benefit of another client, nor will we sell Your Data.

7. Our Intellectual Property

Compadres owns all intellectual property rights in the Platform, including its software, design, branding, underlying models and the methodology behind the Compadres Brain.

Nothing in these Terms transfers ownership of that intellectual property to you.

During your engagement, you are granted a personal, non-exclusive, non-transferable licence to use the Platform.

8. Confidentiality

Each party agrees to keep the other party’s confidential information private and to use it only for the purposes of the advisory engagement and the Platform.

This obligation does not apply where disclosure is required by law.

9. No Professional Guarantee

The Platform, including any guidance generated by its AI-assisted features, is intended to support your business decision-making.

It is not a substitute for independent legal, financial, taxation or other professional advice.

Compadres does not guarantee any particular business outcome.

10. Availability and Changes

We aim to keep the Platform available and operating reliably, but we cannot guarantee uninterrupted or error-free access.

From time to time we may:

  • Update the Platform
  • Add new features
  • Remove or modify existing features

Where a change materially affects your use of the Platform, we will provide reasonable notice.

11. Liability

To the maximum extent permitted by law, Compadres’ total liability arising from your use of the Platform is limited to the fees paid for your advisory engagement during the twelve (12) months immediately preceding the event giving rise to the claim.

Neither party will be liable for any indirect, incidental or consequential loss.

12. Ending Access

Your access to the Platform will end when:

  • Your advisory engagement ends;
  • You breach these Terms and fail to remedy the breach after being requested to do so; or
  • You ask us to close your account.

13. Governing Law

These Terms are governed by the laws of New South Wales, Australia.

Each party submits to the non-exclusive jurisdiction of the courts of New South Wales.

14. Changes to These Terms

We may update these Terms from time to time.

If we make a material change, we will notify you before it takes effect.

By continuing to use the Platform after the updated Terms become effective, you agree to the revised Terms.
